About Us

The Merrimack Public Library Development Fund Committee serves as one of the financial resources for the Merrimack Public Library. The Committee accepts monetary donations and gifts to be used for the benefit of the Library, and may actively engage in raising funds to benefit the Library. The Committee allows philanthropically minded persons, families, corporations, etc. a way of directly benefiting the Merrimack Public Library. 

The MPL Development Fund Committee was formed in 1996 as a 501c(3) organization to establish and maintain an endowment fund for the construction of a new library building and for the benefit of the Merrimack Public Library.  You may view the Articles of Agreement, By-Laws, and 501c(3) status letter below.

Thank you to the many donors who have supported the library with your generous donations to the Merrimack Public Library's Development Fund. Many of you will remember the  Committee's Memorial Brick Campaign; these funds are managed by the Committee, and the Memorial Bricks have been installed on the Library's front property near the entrance.

Purpose

Section 1. Basic Purpose. The Development Fund shall have as its basic purpose the promotion of the continued growth and improvement of the welfare, general public relations, and increase in size and number of the holdings of library materials of the Merrimack Public Library.

Section 2. Ancillary Purposes. The Development Fund shall, in pursuit of its basic purpose, engage in the following pursuits:

a) To establish and maintain an endowment fund for the building of a new library facility and for the benefit of the Merrimack Public Library.

b) To encourage individuals and organizations to make financial contributions to support the Merrimack Public Library and to accept, acknowledge, and approve each and every gift either in money or material, regardless of size or form.

c) To establish, promote, maintain, endow, and render aid and assistance, financial or otherwise, to the Merrimack Public Library.

d) To establish certain memorials in cooperation with the donors.

e) To purchase, for the Merrimack Public Library, library materials or to make funds available for such purposes.

f) To establish three types of funds. The first and primary fund shall be the building fund or funds, which shall be invested for the highest possible income of good security. This fund shall be closed one year after occupancy of the new library facility. The second fund shall be the endowment fund or funds, which shall also be invested for the highest possible income of good security, the income of which shall be transferred to the first or third fund. The third fund shall be the working fund from which all purchases and expenses shall be paid. It shall receive the earnings of the endowment funds and all such incidental gifts and income that may be found to be too small to constitute the formation of an endowment fund and whose donors have expressed no desire as to the disposition of such funds.

g) In the event of dissolution, the disposition of the corporate assets will be to the Board of Trustees of the Merrimack Public Library and shall be in addition to the appropriation.

Officers

1. The Board of Directors may elect or appoint a Chairman of the Board of Directors, a President, one or more Vice Presidents, a Secretary, one or more Assistant Secretaries, a Treasurer, one or more Assistant Treasurers, and such other officers as they may determine. The President may but need not be a Director. Any two or more offices may be held by the same person, except the office of the President and Secretary.

2. Each officer shall hold office until the annual meeting of the Board of Directors, and until his successor has been duly elected and qualifies. The Board of Directors may remove any officer with or without cause at any time.

3 (a). The President shall be the chief executive officer of the corporation, shall have the responsibility for the general management of the affairs of the corporation, and shall carry out the resolutions of the Board of Directors.

3 (b). During the absence or disability of the President of the corporation, the Vice President or, if there be more than one, the Executive Vice President, shall have all the powers and functions of the President. The Vice President shall perform such duties as may be prescribed by the Board of Directors from time to time.

3 (c). The Treasurer shall have the care and custody of all of the funds and securities of the corporation, and shall deposit said funds in the name of the corporation in such bank accounts as the Board of Directors may from time to time determine. The Treasurer shall, when duly authorized by the board of Directors, sign and execute all contracts in the name of the corporation when counter-signed by the President; he may also sign checks, drafts, notes, and orders for the payment of money, which shall have been duly authorized by the Board of Directors and counter-signed by the President.

3 (d). The Secretary shall keep the minutes of the Board of Directors and the minutes of the members. He shall have custody of the seal of the corporation and shall affix and attest the same documents duly authorized by the Board of Directors. He shall serve all notices for the corporation, which shall have been authorized by the Board of Directors, and shall have charge of all books and records of the corporation.
